These Terms of Service ("Terms") govern your access to and use of the websites, software, reports, calculators, APIs, applications, and services (collectively, the "Services") provided by Milestones Retirement Insights Inc. ("Milestones", "we", "our", or "us").

 

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not access or use the Services. We recommend you retain a copy of these Terms for your records.

 

1. About Milestones Retirement Insights

 

Milestones Retirement Insights provides retirement income planning software, calculators, projections, reports, educational content, and related services designed to assist individuals, financial advisors, and organizations in evaluating retirement income strategies.

 

The Services are intended to support planning and decision-making but do not replace professional financial, legal, tax, accounting, or investment advice. Users are encouraged to consult qualified professionals before making financial decisions.

 

2. Eligibility

 

You may use the Services only if you have the legal capacity to enter into a binding agreement under applicable law. The Services are not intended for use by minors.

If you are using the Services on behalf of a company, employer, or organization, you represent and warrant that you have authority to bind that entity to these Terms, and that the entity agrees to be bound accordingly.

 

3. Accounts

 

Certain Services require registration and creation of an account. You agree to:

• Provide accurate, complete, and current information during registration and at all times thereafter.

• Maintain the confidentiality of your login credentials and not share them with third parties.

• Promptly update your account information to keep it accurate.

• Notify us immediately at info@milestones-retirement.com of any unauthorized access or security concern.

 

You are responsible for all activity occurring under your account, whether or not authorized by you. Milestones is not liable for any loss arising from unauthorized use of your account.

 

4. Subscription Plans and Fees

 

Certain Services are provided on a paid subscription basis. Subscription pricing, billing frequency, and included features are displayed at the time of purchase and may be updated from time to time.

By subscribing, you authorize Milestones to charge applicable fees using your selected payment method on a recurring basis. Subscription fees are billed in advance and are non-transferable. It is your responsibility to ensure your payment method remains valid and up to date.

 

Milestones reserves the right to modify pricing upon reasonable prior notice. Continued use of the Services following a pricing change constitutes acceptance of the revised pricing.

 

5. Free Trials

 

Advisor subscriptions may include a free trial period, the duration of which will be disclosed at the time of sign-up. No charges will be incurred during the trial period.

 

Unless you cancel your subscription before the trial period ends, the subscription will automatically convert to a paid subscription and applicable fees will be charged to your payment method on file. It is your responsibility to cancel before the trial expires if you do not wish to continue.

 

Trial eligibility is determined solely by Milestones. Milestones reserves the right to withdraw or modify free trial offers at any time without notice.

 

6. Refund Policy

 

Milestones offers a 30-day refund period from the date of initial subscription purchase. To request a refund, you must contact us at info@milestones-retirement.com within 30 calendar days of your original purchase date.

 

Refund eligibility does not apply to:

• Subscription renewals (whether automatic or manual).

• Fees governed by an Enterprise or Master Services Agreement.

• Custom implementation, onboarding, or configuration services.

• Consulting or professional services already delivered.

• Accounts found to be abusing the refund policy, as determined in Milestones' reasonable discretion.

 

Milestones reserves the right to investigate suspected abuse of the refund policy and to deny refund requests accordingly. Refunds will be processed to the original payment method within 10 business days of approval.

 

7. Retirement Planning and Financial Information Disclaimer

 

The Services provide projections, calculations, reports, educational content, and planning tools based on information supplied by users and assumptions selected within the platform. All outputs are illustrative and for planning purposes only.

 

The Services expressly do not:

• Provide investment advice or recommendations.

• Provide legal, tax, or accounting advice.

• Guarantee any financial outcome, return, or result.

• Create a fiduciary, advisory, or client relationship between the user and Milestones.

 

Users remain solely responsible for evaluating all outputs, assumptions, and financial decisions. Past performance, projections, forecasts, and illustrations are not guarantees of future results. Financial planning consultations, where offered, are provided separately by appropriately licensed professionals and are subject to applicable regulatory requirements.

 

Milestones does not warrant that its outputs are appropriate for any particular user's financial situation. Users with specific retirement, tax, estate, or investment concerns should seek qualified professional advice.

 

8. User Responsibilities and Acceptable Use

 

You agree not to use the Services to:

• Violate any applicable local, provincial, federal, or international law or regulation.

• Attempt to gain unauthorized access to any system, account, network, or data.

• Reverse engineer, decompile, disassemble, or reproduce the Services or underlying technology, except as expressly permitted by applicable law.

• Interfere with, disrupt, or degrade the security, performance, or integrity of the Services.

• Upload, transmit, or introduce malicious software, viruses, or harmful code.

• Use automated systems, bots, scrapers, or other tools to collect or harvest data without prior written authorization from Milestones.

• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

• Use the Services in any manner that could expose Milestones to legal liability or reputational harm.

 

Milestones reserves the right to investigate suspected violations and to take appropriate action, including suspension or termination of access.

 

9. Intellectual Property

 

The Services, including software, reports, designs, graphics, content, calculations, trademarks, and underlying technology, are owned by or licensed to Milestones and are protected by Canadian and international intellectual property laws.

 

Except for the limited rights expressly granted under these Terms, no ownership, license, or other intellectual property rights are transferred to users.

 

Users are granted a limited, non-exclusive, non-transferable, revocable right to use reports and outputs generated through the Services for their own personal or business planning purposes, consistent with their subscription tier. Users may not commercialize, resell, or sublicense such outputs without prior written consent from Milestones.

 

10. Customer Data

 

You retain full ownership of information and data you submit to the Services ("Customer Data"). You grant Milestones a limited, non-exclusive right to process, store, transmit, and display Customer Data solely for the purpose of providing the Services to you.

 

Milestones will not sell, rent, or share Customer Data with third parties for marketing or commercial purposes without your consent, except as required by law or as described in the Privacy Policy.

Milestones will handle all personal information in accordance with its Privacy Policy, available at https://milestones-retirement.com/privacy. In the event of a conflict between these Terms and the Privacy Policy regarding personal information, the Privacy Policy shall govern.

 

Upon termination of your account, Milestones will retain Customer Data only as required by applicable law

or legitimate business purposes, and will delete it in accordance with its data retention schedule.

 

11. Availability of Services

 

Milestones strives to maintain reliable service availability but does not guarantee uninterrupted, error-free access. Scheduled maintenance will be communicated in advance where reasonably practicable.

 

We may, at our discretion:

• Modify, enhance, or discontinue features of the Services.

• Perform maintenance that temporarily affects availability.

• Suspend access where required for security, compliance, or operational reasons.

 

Milestones will use commercially reasonable efforts to minimize service disruption. We are not liable for any losses arising from service unavailability beyond our reasonable control.

 

12. Security

 

Milestones maintains administrative, technical, and physical safeguards designed to protect Customer Data against unauthorized access, disclosure, alteration, and destruction. These measures are reviewed and updated periodically.

 

However, no system can be guaranteed completely secure. By using the Services, you acknowledge and accept the inherent risks associated with internet-based services. In the event of a confirmed data breach affecting your personal information, Milestones will notify affected users in accordance with applicable law.

 

13. Third-Party Services

 

The Services may integrate with or rely upon third-party providers, including cloud hosting providers, authentication providers, payment processors, and other technology partners. Milestones takes reasonable steps to select reputable third-party providers.

 

Milestones is not responsible for the performance, availability, accuracy, security, or actions of third-party providers. Your use of any third-party service is subject to that provider's terms and privacy policy. We encourage you to review those terms before use.

 

14. Suspension and Termination

 

14.1 Termination by Milestones

 

Milestones may suspend or terminate your access to the Services, with or without notice, if:

• You materially breach these Terms and fail to cure such breach within 10 days of written notice (where cure is possible).

• Required subscription fees remain unpaid for more than 15 days following the payment due date.

• Your use of the Services creates material security, legal, or operational risk to Milestones or other users.

• We are required to do so by applicable law or regulation.

 

14.2 Termination by You

 

You may terminate your subscription at any time by accessing your account settings or contacting us at info@milestones-retirement.com. Termination will take effect at the end of your current billing period unless otherwise required by law.

 

14.3 Effect of Termination

 

Termination does not relieve you of obligations incurred prior to the termination date, including unpaid fees. Sections 7, 9, 15, 16, 17, and 20 shall survive termination.

 

15. Disclaimer of Warranties

 

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MILESTONES DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

• Warranties of merchantability or fitness for a particular purpose.

• Warranties of non-infringement of third-party rights.

• Warranties as to the accuracy, completeness, or reliability of calculations, projections, or reports.

• Warranties of continuous, uninterrupted, or error-free availability.

 

Milestones does not warrant that the Services will meet your specific requirements or that outputs will be free of errors or suitable for every situation. You assume full responsibility for your use of and reliance upon the Services.

 

16. Limitation of Liability

 

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MILESTONES RETIREMENT INSIGHTS INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITY, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

MILESTONES' TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO MILESTONES DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

 

Some jurisdictions do not permit certain limitations of liability. To the extent such limitations are prohibited by applicable law, they shall not apply to you.

 

17. Indemnification

 

You agree to indemnify, defend, and hold harmless Milestones Retirement Insights Inc., its directors, officers, employees, contractors, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

• Your access to or use of the Services in violation of these Terms.

• Your violation of any applicable law, regulation, or third-party right.

• Any Customer Data submitted by you that infringes the rights of any third party or violates applicable law.

 

Milestones reserves the right to assume exclusive control of the defense of any matter subject to indemnification by you, at your expense. You agree not to settle any such claim without Milestones' prior written consent.

 

18. Enterprise Agreements

 

Customers operating under a separately executed Master Services Agreement (MSA), Subscription Agreement, Statement of Work (SOW), or other written contract with Milestones shall be governed by that agreement to the extent of any conflict with these Terms. In all other respects, these Terms shall continue to apply.

19. Changes to These Terms

 

Milestones may update these Terms periodically to reflect changes in our Services, business practices, or legal requirements. When we make material changes, we will:

• Post the updated Terms on our website at https://milestones-retirement.com/terms with a revised effective date.

• Provide at least 30 days' advance notice to registered users via email or in-platform notification before material changes take effect.

 

Your continued use of the Services following the effective date of updated Terms constitutes your acceptance of the revised Terms. If you do not agree to material changes, you may terminate your subscription before the changes take effect.

 

20. Governing Law and Dispute Resolution

 

These Terms shall be governed by and interpreted in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

In the event of a dispute, the parties agree to first attempt resolution through good-faith negotiation for a period of 30 days following written notice of the dispute. If unresolved, the parties agree to submit to the exclusive jurisdiction of the courts located in Ontario, Canada.

Nothing in this section prevents Milestones from seeking injunctive or other equitable relief in any competent jurisdiction to protect its intellectual property or confidential information.

 

21. General Provisions

 

21.1 Entire Agreement

 

These Terms, together with the Privacy Policy and any applicable Enterprise Agreement, constitute the entire agreement between you and Milestones with respect to the Services and supersede all prior agreements and understandings.

21.2 Severability

 

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severed from these Terms, and the remaining provisions shall remain in full force and effect.

 

21.3 Waiver

 

Milestones' failure to enforce any right or provision of these Terms shall not constitute a waiver of such

right or provision.

 

21.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without Milestones' prior written consent. Milestones may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets.

 

21.5 Force Majeure

 

Milestones shall not be liable for any failure or delay in performance resulting from causes beyond its

reasonable control, including natural disasters, acts of government, internet outages, cyberattacks, or other force majeure events.
